Terms of Service

1. Acceptance of These Terms
These Terms of Service (“Terms”) are an agreement between you and Stonewell Technologies, a sole proprietorship operated by Sreejith U Krishnadas in India. By accessing or using the Stonewell website, account services, Z-Matrix, or another service that links to these Terms (collectively, the “Services”), you agree to be bound by them. If you do not agree, do not access or use the Services.
2. The Services and Z-Matrix
Z-Matrix is a web application that helps you compare products, services, or other items using decision matrices. You can define criteria, assign weights, score items, calculate results, view charts and graphs, generate reports, and share or export evaluations. Z-Matrix is a decision-support tool. Its calculations, visualizations, reports, and results are based on the information and judgments entered by you and are not professional, financial, legal, medical, or other expert advice.
We may add, change, suspend, or discontinue features or Services. We do not promise that every feature will always be available or that the Services will meet every particular requirement.
3. Eligibility and Business Accounts
You must be at least 18 years old to use the Services. If you use the Services for a business or organization, you represent that you have authority to accept these Terms on its behalf. The business or organization is responsible for its authorized users, their access, and their compliance with these Terms.
4. Accounts and Security
Some features require an account. You must provide accurate information, keep your credentials confidential, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account, except to the extent caused by our failure to use reasonable security measures. We may require account verification or reset credentials to protect the Services.
5. Your Content and Privacy
“Content” means information, text, criteria, weights, scores, notes, matrices, reports, and other materials that you submit, create, store, or manage through the Services. You retain ownership of your Content. Content is private by default and is not made public by Stonewell unless you deliberately use a sharing, publishing, export, or similar feature.
You grant Stonewell a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, display, back up, and technically process your Content only as reasonably necessary to provide, maintain, secure, support, and improve the Services. This license ends when the Content is deleted, except where retention is required for backups, security, legal compliance, dispute resolution, or legitimate business records.
You are responsible for ensuring that you have all rights, permissions, and lawful bases required to submit and use your Content, including information about other people or organizations. Do not submit passwords, government identification numbers, financial account information, health information, or other sensitive information unless the applicable Service expressly requires it and you have a lawful basis to do so. Our Privacy Policy explains how we handle personal information.
6. Acceptable Use
You must use the Services lawfully and responsibly. You must not:
- use the Services for unlawful, fraudulent, abusive, threatening, harassing, defamatory, or harmful activity;
- upload malware, malicious code, or Content that infringes another person’s rights;
- attempt to gain unauthorized access, bypass security, probe or disrupt systems, or access another user’s account or Content;
- scrape, crawl, harvest, overload, interfere with, or reverse engineer the Services, except where applicable law does not permit us to restrict that activity;
- resell, sublicense, rent, or commercially exploit the Services without our written permission;
- use the Services to build a competing product or to evaluate the availability, performance, or security of the Services for public comparison without our written permission; or
- remove notices, misrepresent your identity or affiliation, or use the Services in a way that could harm Stonewell, other users, or third parties.
7. Availability, Pricing, and Support
Z-Matrix is currently provided free of charge. Stonewell may introduce fees, subscriptions, usage limits, or paid features in the future. We will provide notice of material pricing changes before they apply to a paid feature or renewal. You are responsible for your internet connection, devices, and any third-party charges.
Customer support is provided by email. Contact support@stonewell.in. We aim to respond within 15 days, but this is a response target and not a guaranteed resolution time or service-level commitment.
8. Suspension and Termination
You may stop using the Services at any time and may request account deletion by contacting us. We may suspend or terminate access, remove Content, or discontinue an account or Service if we reasonably believe there is a violation of these Terms, a security risk, misuse, prolonged inactivity, a legal requirement, or a risk of harm to Stonewell, users, or third parties. Where reasonably practical, we will provide notice and an opportunity to resolve the issue.
After termination, your right to use the Services ends. We may retain or delete Content according to our Privacy Policy, applicable law, backup practices, and legitimate security or business needs. Sections that by their nature should survive termination will continue to apply.
9. Intellectual Property
Stonewell and its licensors own the Services, including their software, design, branding, documentation, and underlying technology, except for your Content and third-party materials. Subject to these Terms, Stonewell grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services. No rights are granted by implication.
10. Third-Party Services
The Services may link to or rely on third-party websites, hosting providers, payment services, email services, or other technologies. Third-party services are governed by their own terms and policies. Stonewell is not responsible for third-party services, content, availability, or practices.
11. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided “as is” and “as available,” without warranties of any kind, express, implied, or statutory. Stonewell disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, and uninterrupted or error-free operation. We do not warrant that the Services will be secure, that Content will never be lost or corrupted, or that decisions made using Z-Matrix will produce a particular result. You are responsible for maintaining appropriate copies of your Content and independently reviewing any result or report before relying on it.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Stonewell Technologies, Sreejith U Krishnadas, and their affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunities, data, or use, arising out of or related to the Services or these Terms, even if advised of the possibility of those damages.
To the maximum extent permitted by applicable law, our total aggregate liability for all claims arising out of or related to the Services or these Terms will not exceed the greater of (a) the amount you paid to Stonewell for the Services during the 3 months before the event giving rise to the claim, or (b) INR 1,000. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
13. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Stonewell Technologies, Sreejith U Krishnadas, and their affiliates, licensors, and service providers from claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from your Content, your use of the Services, your violation of these Terms, or your violation of another person’s rights or applicable law.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to any mandatory rights or remedies available under applicable law, courts located in Pune, Maharashtra will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.
15. Changes to These Terms
We may update these Terms when we change the Services, introduce new features or pricing, or for legal or operational reasons. We will post the updated Terms on this page and change the effective date. If a change is material, we will provide additional notice where reasonably practicable. Your continued use of the Services after the effective date means you accept the updated Terms.
16. General Terms
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any applicable product-specific terms, form the entire agreement regarding the Services.
